Litigation/Arbitration

 

Current methods of dispute settlement such as negotiations, arbitration or mediation are used to secure results for our commercial clients with as little inconvenience and expense as possible. Courtroom litigation is pursued if the matter is not amenable to alternative dispute resolution or such option appears not viable in the circumstances. Our case management techniques and practices ensure that we use negotiation and other alternative dispute resolution methods to conclude cases as often as we can.

 

 

Legal Compliance

We handle matters concerning primary and secondary registration of businesses at the Registrar-General’s Department, Ghana Investment Promotion Centre, Ghana Free Zones Board, etc. We also assist with the documentation of non-nationals doing business in Ghana by procuring for them resident/work permit and indefinite residence status.

Trademarks Registration

 

To offer clients the needed protection over their trade names and marks, we undertake registration of trademarks. We offer general advice and services leading to the registration of the names and marks on their products. Our knowledge and experience enable us offer in advance an opinion on whether or not a name or mark is registrable.

 

Preparation of Shareholders’ Agreement

Not all issues of corporate governance are covered by the Regulations of a company. For the avoidance of conflicts and corporate failure, we put together agreements for clients which spell out what powers of the Board are to be delegated to Management, who will be on the Board, who chairs the Board, who appoints the Managing Director, how directors are appointed or removed, methods of dispute resolution, what matters are reserved for shareholders’ decision and who the company’s professional advisers should be (legal, audit, taxation, etc.).

Construction Law

 

As construction lawyers we act for a variety of business entities such as suppliers of building materials and equipment, developers, or companies requiring construction of complex and simple projects, banks and other lenders funding construction projects and consultants involved in construction projects. 

Our work in construction law involves procurement advice, drafting and negotiating the terms of the needed contracts (and subcontracts) and advisory services on claims (handling claims relating to delays to completion of a project, construction schedules, or structural defects or defects in quality of materials supplied) and taking clients through litigation or arbitration.

 

 

Due Diligence Analysis

We carry out Due Diligence analysis for clients involved in mergers, equity participation or take-over talks after signing the relevant "Letter of Intent" and “Non-Disclosure” and “Non-Circumvention Agreement” which guarantees the absolute confidentiality of all information for the parties. 

As lawyers we undertake Due Diligence work with emphasis on commercial, company and property laws. Existing company regulations, contracts and any potential or pending litigation or claims are examined. Possible special circumstances in the legal formation and labour relations of the company are identified.
